1. Definitions

  • "We / Us / Our / Veridian" — Veridian, operating from 77 Wireless Road, Lumphini, Pathum Wan, Bangkok 10330, Thailand.
  • "You / User" — any individual or organisation accessing this website or engaging our services.
  • "Service" — any pricing or revenue advisory service offered by Veridian.
  • "Agreement" — these Terms & Conditions, as accepted by your use of this site or engagement of our services.
  • "Content" — all written materials, documents, and outputs produced by Veridian in connection with an engagement.

2. Acceptance of Terms

By using this website or engaging Veridian's services, you agree to be bound by these Terms. If you do not agree, please do not use this site or engage our services. You must be at least 18 years old and have the legal capacity to enter into a binding agreement on behalf of yourself or your organisation.

3. Service Description

Veridian provides pricing review and revenue strategy advisory services to businesses. Our services are general business advisory in nature — they are not financial advice, legal advice, or investment advice. We do not make representations about specific financial outcomes. Service availability is subject to capacity and geographic considerations; we primarily serve businesses in Thailand.

4. Engagement Terms

Each advisory engagement is governed by a written scope brief agreed before work begins, in addition to these Terms. The scope brief sets out deliverables, timeline, and fee. In the event of conflict between the scope brief and these Terms, the scope brief prevails for that specific engagement.

5. User Responsibilities

You agree to:

  • Provide accurate information when engaging our services
  • Use this website and any outputs for lawful purposes only
  • Not reproduce, distribute, or republish Veridian's written outputs without prior written permission
  • Treat any Veridian personnel with professional respect

6. Intellectual Property

All content on this website, including text, design, and structure, is the property of Veridian and protected under applicable Thai intellectual property law. Written outputs produced for an engagement are delivered to you for your internal use. You may share them within your organisation. You may not commercially resell, publish publicly, or represent them as your own work.

7. Payment Terms

Fees are as stated in the scope brief for each engagement. Payment is due in Thai Baht (฿). Payment terms are confirmed in the scope brief, typically invoice on delivery or prior to session commencement. Late payment may result in work being paused until fees are settled. Fees are non-refundable once a working session has been delivered.

8. Advisory Nature of Services

Veridian provides structured analysis, documented options, and advisory input. We do not make pricing decisions on behalf of clients. All decisions arising from our work remain entirely with the client. Nothing in our outputs constitutes financial advice, investment advice, or a representation that particular pricing choices will produce specific financial results.

9. Limitation of Liability

To the extent permitted by Thai law, Veridian's total liability arising from any engagement shall not exceed the fee paid for that specific engagement. We are not liable for indirect, consequential, or incidental losses arising from your use of our outputs or reliance on our advisory input. This limitation does not apply in cases of fraud or wilful misconduct.

10. Confidentiality

We treat all business information you share during an engagement as confidential. We do not share client information across engagements or with third parties, except where required by law. In return, we request that our written outputs and advisory notes are treated as confidential and not shared beyond your organisation without our consent.

11. Termination

Either party may terminate an ongoing engagement (such as the Revenue Strategy Advisory) with 30 days' written notice. Work in progress at the point of termination will be delivered in its current state. Fees for work completed up to the termination date are payable in full. For fixed-scope engagements, cancellation prior to the first session is subject to terms in the scope brief.

12. Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from these Terms or from an engagement will be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand. 13. General Provisions

  • Entire Agreement: These Terms, together with any scope brief, constitute the full agreement between the parties.
  • Severability: If any provision is found unenforceable, the remainder of the Terms continues in effect.
  • No Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our written consent.

14. Changes to Terms

We may update these Terms from time to time. The "Last Updated" date reflects the most recent revision. Continued use of this website or engagement of our services after an update constitutes acceptance of the revised Terms.
